Digital Products Service License

PLEASE READ THIS AGREEMENT AND INDICATE YOUR ACCEPTANCE BY CLICKING THE "I ACCEPT/AGREE" BUTTON AT THE BOTTOM OF THIS WEB PAGE. ACCEPTANCE OF THIS SERVICE LICENSE MEANS THAT YOU ARE BOUND BY THE TERMS OF THIS SERVICE LICENSE AND ANY AMENDMENTS THERETO AFTER THIS DATE.

This Digital Products Service License ("Service License") is between You and Carly Hill Coaching LLC (each also sometimes referred to as a “Party,” collectively, “Parties”). Carly Hill Coaching LLC agrees to provide You with access to its digital marketing products on its website restricted only to those persons who have consented to the terms of this Service License. You agree to pay the Product Fee to Carly Hill Coaching LLC according to the terms of this Service License and abide by any rules and regulations adopted by Carly Hill Coaching LLC with respect to the use of the website, including without limitation, the Terms of Use, available here and incorporated herein by this reference. Capitalized terms not otherwise defined in this Service License shall have the same meaning ascribed in the Terms of Use, as updated from time to time. In the event of any conflict between the terms of the Service License and Terms of Use, the terms of this Service License will control.

1. Definitions and Interpretation

1.1. Website

“Website” means the website located at https://carlyhillcoaching.com and includes the entirety of both the Membership Website and the Public Website.

1.2. Membership Website

“Membership Website” means that portion of the Website that is restricted to the use only by You and other customers and includes the available content, modules, benefits, and services related to all digital marketing products sold by Carly Hill Coaching LLC.

1.3. Public Website

“Public Website” means that portion of the Website that is available for use by any person that accesses it.

1.4. Acceptance

“Acceptance” means that You have accepted the terms of this Service License and have manifested said acceptance by clicking on the “I Accept/Agree” button at the bottom of this Service License.

1.5. User Name

“User Name” means the name by which You shall provide, along with the Password, to Carly Hill Coaching LLC that allows you to gain access to the Membership Website.

1.6. Password

“Password” means the password by which You shall provide, along with the User Name, to Carly Hill Coaching LLC that allows you to gain access to the Membership Website.

1.7. Digital Marketing Products

"Digital Marketing Products" refers to any digital product, course, service, or membership that Carly Hill Coaching LLC offers through its website, including but not limited to pre-recorded webinars, e-books, and masterclasses.

1.8. Therapist to Coach Accelerator Program

“Therapist to Coach Accelerator Program” refers to Carly Hill Coaching LLC’s specialized program aimed at helping therapists transition into coaching professionals.

1.9. Interpretation

- All respective schedules, exhibits, and/or attachments referenced are attached hereto and incorporated herein by this reference.

- The language in this Service License shall be interpreted as to its fair meaning and not strictly for or against any party.

2. Duties of Carly Hill Coaching LLC

2.1. Services and Membership Website Information

Carly Hill Coaching LLC shall make available all purchased Digital Marketing Products through the Membership Website pursuant to the terms of this Service License and Terms of Use. Carly Hill Coaching LLC shall provide You and other customers with access to exclusive content, benefits, and other materials related to these digital products. Carly Hill Coaching LLC reserves the right to make time-sensitive content available on the Public Website after it has been published on the Membership Website.

2.2. Privacy

Carly Hill Coaching LLC shall not disclose any personal information you provide through the Website to third parties, except for purposes of billing, advertising, or any necessary function required under this Service License.

2.3. Unauthorized Access

If You determine that another party has gained unauthorized access to your account, Carly Hill Coaching LLC shall issue you a new User Name and Password.

2.4. Availability of Membership Website

Carly Hill Coaching LLC will use reasonable efforts to provide notice for scheduled maintenance. Carly Hill Coaching LLC does not warrant that the Membership Website will be available on a continual 24-hour basis.

3. Your Duties

3.1. Use of and Access to Membership Website

Your access to any Digital Marketing Product through the Membership Website is granted via a limited, non-exclusive use license for personal use only. This access cannot be shared, transferred, or assigned without prior written consent from Carly Hill Coaching LLC.

3.2. Payment

You agree to pay Carly Hill Coaching LLC the designated Product Fee for each Digital Marketing Product according to the terms provided on the Website.

3.3. Rules and Regulations

You agree to abide by any rules or regulations that Carly Hill Coaching LLC may adopt regarding the use of the Website.

3.4. Information Entry Page

You shall provide accurate information on the Information Entry Page, including payment details necessary for billing.

3.5. Intellectual Property Ownership

All materials related to the Digital Marketing Products are wholly owned by Carly Hill Coaching LLC. You agree not to contest or challenge Carly Hill Coaching LLC’s ownership rights.

3.6. Availability of Membership Website

You understand that internet traffic may cause delays and the Membership Website may not be available on a continual basis due to such delays or standard maintenance.

4. Length of Service License

Unless otherwise noted, the term and the rights granted herein shall begin on the date You assent to this Service License. You will have access to each purchased Digital Marketing Product for the life of the product. The life of the product is defined as the period during which Carly Hill Coaching LLC actively maintains and offers the product. If the product is discontinued, your access may be terminated

5. Terms of Payment

You agree to the lump sum or subscription payment terms as specified on the Information Entry Page at the time of purchase. You also waive any rights to dispute resolution mechanisms through third parties, including but not limited to PayPal or credit card chargebacks.

6. Refunds

If You purchase a Digital Marketing Product and later enroll in the Therapist to Coach Accelerator Program more than 30 days after purchasing the digital product, no refunds will be provided for the digital product. Due to the nature of digital products, refunds are not offered except where legally required.

7. Miscellaneous

Dispute Resolution, Indemnification, and other provisions shall follow the standard terms as listed in the original agreement.

THE “I ACCEPT/AGREE” SIGNATURE FOLLOWS. THIS BUTTON SHALL THEN DOWNLOAD THE INFORMATION ENTRY PAGE TO THE SUBSCRIBER’S COMPUTER. IF YOU  DO NOT CLICK ON THIS BUTTON, THIS AGREEMENT SHALL BE NULL AND VOID AND  YOU WILL HAVE NOT RIGHTS TO ACCESS THE MEMBERSHIP WEBSITE.
